By-Laws
ARTICLE I: NAME & PURPOSE
Section A: Name – The name of this group shall be the “Rodney Webb Peer Networking Group” (PNG).
Section B: Affiliation – The PNG is not affiliated with any other organization.
Section C: Purpose – The purpose and activities of the PNG shall include but not necessarily be limited to:
1. Mutual introspective business reviews.
2. Free exchange of selected business metrics and other information.
3. Site visits to member business locations on a rotating basis.
4. Collective discussions on business topics of general and collective interest.
5. Overall increase in financial and business success through the above interchange.
ARTICLE II: MEMBERSHIP & DUES
Section A: Eligibility – Membership shall be open exclusively to Rodney Webb LLC Contract Client companies in good standing with their organization actively enrolled in the Rodney Webb University.
Section B: Individual Participants – Participating parties must be owners or principals of eligible organizations holding an ownership stake of 10% or more.
Section C: Dues – Annual dues shall be $12,000 per eligible organization billed in twelve monthly installments of $1,000 added to the regular monthly Contract Client invoice.
ARTICLE III: LEADERSHIP
Section A: Direction – The direction and management of all PNG activities and membership shall be at and under the sole direction of Rodney Webb and selected staff members as he may designate from time-to-time.
ARTICLE IV: ORGANIZATIONAL STRUCTURE
Section A: Groups – The entire organization shall be divided into working sub-groups (Groups) to be determined and sized based on similar or compatible:
1. Annual revenues
2. Home improvement specialty area(s)
3. Sales staff size and composition
4. Geographical location
It is specifically recognized that no Groups will contain direct competitors.
Section B: Group Assignments – The Group membership assignments will be made by and at the sole discretion of Rodney Webb with periodic reassignments possible from time-to-time as required.
Section C: Group Duration – Group membership assignments will be made and assigned/reassigned every two years.
ARTICLE V: MEETINGS
Section A: PNG Meetings – The first meeting of the PNG will be held on February 27, 2020 at the Rodney Webb Experience 2020 event at the Hard Rock Hotel & Casino in Hollywood, Florida.
Section B: Working Group Meetings – Working Group Meetings will be scheduled twice per year and be two full business days in duration. Each of these Working Group Meetings will be hosted at a rotating Group member business facility for the first half-day and, to facilitate free and open discussions, at a nearby hotel meeting facility for the remaining day-and-a-half.
Section C: Attendance – Attendance at all Working Group Meetings is strictly mandatory. Any member missing a meeting without Rodney Webb’s advance permission will be subject to immediate membership termination without refund of any dues paid to date.
ARTICLE VI: REQUIRED MATERIALS SUBMISSION
Section A: Shared Information Submissions – All Group Members will be required to submit financials and other information for consolidation and shared reporting at each Working Group Meeting. The required information will be outlined by Rodney Webb four weeks before the scheduled Working Group Meeting date with delivery expected two weeks before the Working Group Meeting date.
Section B: Late Submission Penalty – Any Group Member delinquency in required submissions will be fined $500 per each late or missing submission item. Payment due immediately upon imposition of fine.
ARTICLE VII: NON-DISCLOSURE OF INFORMATION
Section A: Acknowledgment – It is recognized that effective functioning of the PNG requires submission of materials and discussion of methodologies and activities that would be otherwise considered proprietary.
Section B: Confidentiality – PNG members specifically agree to hold all written and verbal communications in strict confidence.
Section C: Use of Confidential Information – It is recognized that much of the knowledge garnered by PNG members will be used, applied or emulated within their own organizations. This is expected and allowed with the sole caveat being that all such information passed on or utilized be done without attribution of, or reference to, its original source.
ARTICLE VIII: AMENDMENTS
Section A: Amendments – It is recognized and acknowledged that the PNG By-Laws may be amended from time-to-time by, and at the sole discretion of, Rodney Webb.
Section B: Distribution – Copies of amended PNG By-Laws will be forwarded to PNG members as required.
Section C: Acceptance – The electronic acceptance signature on each PNG member’s online sign-up form shall be agreed in advance to bind member to the original By-Law terms and conditions effective upon submission and subsequent revised By-Law terms and conditions effective upon receipt.
